Terms & Conditions

AGREEMENT

These Terms and Conditions (“Agreement”) govern the provision of quotations, orders, and transactions by COREX CONSUMER GOODS TRADING (“SELLER”) to the Client (“BUYER”). By requesting or accepting a quotation, purchase order, or delivery from the Company, the Customer agrees to abide by the terms set forth herein.

PRICING

• All prices are subject to change without prior notice, except orders already formally accepted by the SELLER.
• If the BUYER is exempt from paying taxes (e.g., VAT zero-rated, VAT exempt), it is the sole responsibility of the BUYER to submit the necessary documentation and certification from the appropriate government agencies.
• The SELLER reserves the right to impose additional taxes if the BUYER fails to present valid certifications for their tax category.

TERMS AND PAYMENTS

• Bank Deposit / Online Transfers / E-Payments: Send the official digital receipt to the assigned sales manager or accounting team at accounting@corextradingph.com for validation. Depending on the payment channel, clearance may take one (1) to three (3) business days.
• Check Payments: All checks should be payable to “COREX CONSUMER GOODS TRADING”.
• Approved Credit Terms: May be extended based on the relationship with the BUYER, financial capacity, order volume, and SELLER’s evaluation. Terms may be adjusted, suspended, or revoked due to non-compliance.
• Penalty: Overdue invoices are subject to a late payment fee of three percent (3%) per month. The BUYER is liable for any legal and collection costs incurred by the SELLER in recovering dues.

ORDERS AND ACKNOWLEDGEMENTS

• Orders must be accompanied by an authorized signature and shall only be valid once formally accepted by the SELLER.
• Confirmed orders are final and cannot be altered unless otherwise approved in writing by the SELLER.
• Approved modifications may result in delivery delays and additional charges.

DELIVERY POLICY

• In-Stock Orders: Items are generally shipped within three (3) to seven (7) business days within Metro Manila, subject to uncontrollable events (e.g., supply chain disruptions, transport delays, pandemics, disasters).
• Order-Basis/Custom Orders: Lead times depend on manufacturer and distributor timelines, which are beyond the SELLER’s control.
• Shipping Charges: Orders below ₱50,000.00 are subject to delivery fees within Metro Manila. Orders ₱50,000.00 and above qualify for free shipping (Metro Manila only). Deliveries outside Metro Manila are charged based on third-party logistics (3PL) rates.
• Delivery Acceptance: A valid government-issued ID or company ID matching the authorized recipient must be presented. Failure to comply may result in non-release and redelivery charges.
• Excusable Delay: The SELLER shall not be held liable for delivery delays caused by force majeure or circumstances beyond its control.

RETURNS

• Return requests must be made in writing and are subject to SELLER’s approval. Incorrectly ordered products cannot be returned.
• Defective or Damaged Products: Items damaged in transit or with manufacturer defects may be returned within seven (7) days upon issuance of a Return Merchandise Authorization (RMA) by the SELLER.
• Custom/Order-Basis Items: Non-returnable.
• A restocking fee of up to 25% may be charged on approved returns.

CANCELLATIONS

• Cancellations must be made in writing and are subject to SELLER approval.
• Cancellation fees may apply. Custom-made, order-basis, and ready-for-shipment products cannot be cancelled.

WARRANTY

• The SELLER extends to the BUYER all assignable warranties provided by the original manufacturer. No additional warranties are provided by the SELLER unless explicitly stated.
• For custom orders, the SELLER warrants compliance with agreed specifications. Damage caused by misuse, mishandling, or unauthorized modifications is not covered.
• The SELLER’s liability is limited to repair, replacement, or price adjustment, at its discretion.
• Limitation of Liability: The SELLER shall not be liable for incidental, indirect, or consequential damages, including but not limited to lost profits or business interruptions.

CONFIDENTIALITY

Both parties agree to treat all business-related information as confidential and not disclose such information to third parties without prior written consent.

GOVERNING LAW & DISPUTE RESOLUTION

• This Agreement shall be governed by the laws of the Republic of the Philippines.
• Any disputes shall first be resolved amicably. If unresolved, both parties agree to submit to the jurisdiction of the courts of the Philippines.
